MFDF Webinar: Closed-End Funds: Offering Reform and COVID-19 Considerations

On April 8, 2020, the Securities and Exchange Commission adopted rule and form amendments that seek to improve access to capital and facilitate investor communications by business development companies and registered closed-end investment companies (Offering Reform).  Specifically, the final amendments modify the registration, communications, and offering processes for business development companies and other closed-end investment companies under the Securities Act of 1933, as well as related rule and form amendments under the Investment Company Act of 1940 to tailor the disclosure and regulatory framework to these investment companies. 

The Offering Reform comes during a unique time in the market for closed-end funds, as closed-end funds and their advisers respond to the significant challenges arising from the COVID-19 pandemic.

Nathan Briggs, a partner at Ropes & Gray, will discuss several of the most important issues for directors to consider in connection with the Offering Reform as well certain issues arising that are unique to closed-end funds as a result of COVID-19.
