SEC To Hold Proxy Voting Roundtable

The SEC recently announced that it will hold a roundtable on February 19 “to explore ways to improve the proxy voting process.”  The roundtable will consist of two panels.  The first panel will focus on contested director elections.  The panel will discuss the universal ballot process, including whether any changes should be made to the proxy rules to facilitate the use of universal ballots as well as any state law, logistical, and disclosure issues that could arise with a universal ballot.  The second panel will explore ways to increase retail shareholder participation in proxy voting process, including the potential impact of technology, the format of disclosure, and voting mechanics.
