Darius I. Ravangard
Keen on creatively and efficiently serving clients, Darius Ravangard represents public and private investment funds, including business development companies (BDCs), in their formation, launch-to-market operations and capital-raising efforts as well as on other regulatory and transactional matters, including strategic transactions and joint ventures. As a part of his practice, he counsels clients on regulatory and compliance matters under the Investment Company Act of 1940.
Mr. Ravangard also advises issuers and investment banks in connection with a variety of public and private offerings of equity and debt securities, including initial public offerings (IPOs), Rule 144A offerings, shelf offerings, at-the-market offerings (ATMs), registered direct offerings, bond offerings, convertible debt offerings and rights offerings.
In addition, Mr. Ravangard counsels clients with respect to corporate governance matters, reporting obligations under the Securities Exchange Act of 1934 and other securities laws, including annual, quarterly, and current reporting; proxy disclosure and related shareholder communications; compliance with beneficial ownership reporting and Section 16(b) filings; and compliance with the national securities exchanges’ listing requirements.
Prior to joining Dechert, Mr. Ravangard worked at another global law firm in Washington, D.C.
During college, he was a member of and four-year starter on his school’s NCAA Division I men’s soccer team.
